CodeRabbit raises $143M at $1.5B, launches Agentic Change Management to govern AI code explosion

CodeRabbit, the AI code review pioneer, raised $143 million in Series C at a $1.5 billion valuation, led by Atomico and Smash Capital with participation from BMW i Ventures, Datadog, Hirtle Callaghan, SineWave Ventures, and existing backers including CRV and Scale Venture Partners. The round closes less than a year after a $60 million Series B and follows a period of explosive growth: revenue grew more than 5x year-over-year as engineering organizations globally adopted independent review and governance infrastructure for AI-generated code.

CodeRabbit processes more than 2 million code reviews per week across 17,000 customers including NVIDIA, Adyen, BMW, Indeed and JFrog. As AI agents automate code generation, the company is shifting from simple code quality review toward Agentic Change Management—a control layer addressing how teams prioritize, validate, and safely ship code generated by both humans and AI systems. Three new capabilities launch today: CodeRabbit Triage (scores and routes pull requests by value, urgency, risk and reviewer fit), CodeRabbit Change Stack (shows blast radius and dependencies), and CodeRabbit Security (extends review to post-deployment security monitoring).

The market signal is clear: GitHub commits are on pace for 14x growth this year, and researchers show autonomous agents already open 35% of pull requests at leading companies. Traditional issue trackers (Jira) assumed humans planned work before code existed. AI-native development inverts that—code appears before alignment is established. CodeRabbit is betting that as code output explodes, governance becomes the differentiator. The company is investing $10M+ to keep AI code review free for open source over the next 12 months and is opening offices in London, Japan and Asia.
